Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of Vend ("Service"), operated by Yaw Labs LLC ("Company," "we," "us"). By accessing or using the Service at vend.sh, you agree to be bound by these Terms.

Vend is a payment platform for MCP servers and AI tools. We act as the Merchant of Record for transactions processed through our platform, meaning we are the legal seller and handle payment processing, tax compliance, and customer billing on behalf of creators.

2. Definitions

  • Creator: A user who registers on Vend to sell access to their MCP server, API, or digital product.
  • Buyer: An end user who purchases a license key or subscription through a Creator's checkout page on Vend.
  • License Key: A unique alphanumeric code issued to a Buyer that grants access to a Creator's product at a specific tier.
  • Project: A Creator's product listing on Vend, representing an MCP server or tool being monetized.

3. Account Registration

You must authenticate via GitHub to create a Creator account. You are responsible for maintaining the security of your account. You must be at least 18 years old and have the legal capacity to enter into a binding agreement.

4. Merchant of Record

Vend acts as the Merchant of Record for all transactions. This means:

  • Vend is the legal seller of record on Buyer payment statements.
  • Vend handles sales tax calculation, collection, and remittance.
  • Vend processes refunds and handles payment disputes.
  • Vend issues license keys on behalf of Creators.

Creators are suppliers, not sellers. Creators grant Vend a non-exclusive license to distribute and sell access to their products. Creators retain all intellectual property rights to their products.

5. Platform Fees

Vend charges a platform fee of 5% + $0.50 USD per transaction. This fee is deducted from the sale price before payout to the Creator. Payment processing fees (Stripe) are included in the platform fee — Creators are not charged separately for processing.

6. Creator Payouts

  • Payouts are processed monthly, on a NET 30 basis.
  • Minimum payout threshold: $25.00 USD.
  • Payouts are sent via the method configured in your account settings (PayPal or bank transfer via Stripe Connect).
  • Creators are responsible for providing accurate payout information. Vend is not liable for payouts sent to incorrect accounts.
  • Vend reserves the right to withhold payouts if there is suspected fraud, excessive chargebacks, or violation of these Terms.

7. Refund Policy

  • Subscriptions: Buyers may request a full refund within 7 days of their initial purchase. After 7 days, cancellation takes effect at the end of the current billing period with no refund for the remaining term.
  • One-time purchases: No refunds after a license key has been issued, except in cases of technical failure where the product does not function as described.
  • Refund requests are handled by Vend as the Merchant of Record. Creators may recommend refunds but do not process them directly.

8. Acceptable Use

You may not use Vend to:

  • Sell access to products that contain malware, spyware, or malicious code.
  • Distribute content that is illegal in the United States.
  • Misrepresent the functionality or capabilities of your product.
  • Engage in fraudulent transactions or artificially inflate usage metrics.
  • Resell or redistribute license keys obtained through Vend.
  • Attempt to reverse-engineer, circumvent, or disable the license key validation system.

Violation of these terms may result in immediate account suspension and withholding of pending payouts.

9. License Keys

License keys issued through Vend are non-transferable unless explicitly enabled by the Creator. Each key is subject to activation limits and expiry terms set by the Creator's tier configuration. Vend reserves the right to revoke license keys associated with fraudulent transactions or Terms violations.

10. Intellectual Property

Creators retain full ownership of their products, code, and content. By listing a product on Vend, Creators grant Vend a non-exclusive, worldwide license to display product information on checkout pages and marketing materials solely for the purpose of facilitating sales.

The Vend name, logo, and platform software are the property of Yaw Labs LLC. You may not use our trademarks without prior written consent.

11. Tax Compliance

As the Merchant of Record, Vend is responsible for calculating, collecting, and remitting applicable sales taxes on transactions. Creators are responsible for their own income tax obligations. Vend will issue 1099-K forms to US-based Creators who exceed the applicable reporting threshold.

12. Limitation of Liability

To the maximum extent permitted by law, Vend and Yaw Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees paid to us by you in the twelve (12) months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Termination

  • Creators may close their account at any time. Active subscriptions will continue until the end of their current billing period.
  • Vend may suspend or terminate accounts that violate these Terms with or without notice.
  • Upon termination, Vend will process a final payout of any outstanding balance above the minimum threshold within 60 days.
  • License keys issued prior to termination will remain valid until their natural expiry or the end of the associated subscription period.

15. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of California. You agree to waive your right to a jury trial and to participate in a class action lawsuit.

16. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

17. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
